Representatives of SRL-D’s that have reached 3 years since the registration date have to start the procedures for changing the company name
Representatives of SRL-D’s that have reached 3 years since the registration date, starting with the 1st of January 2015, have to start the necessary procedures for changing the abbreviation S.R.L.-D. in S.R.L. or to choose another legal form.
In compliance with art.6, paragraph (1), letter a) of the Emergency Ordinance no. 6/2011 for stimulating the setting up and development of micro – enterprises by debutant entrepreneurs in business, as subsequently amended and supplemented, the quality of microenterprise belonging to the debutant entrepreneur shall be lost, as effect of the law, “on December 31st of the year when are reached 3 years since the registration date”.
So, pursuant to the same article, paragraph (2), „in 45 working days at the most starting the date when the quality of microenterprise belonging to the debutant entrepreneur, that specific company has the obligation to proceed in changing the designation in compliance with the provisions of art.36 of Law no.26/1990, as republished and subsequently amended and supplemented”.
Therefore, the representative of the company shall come to the trade register office attached to the law court where the registered office was declared, in 45 working days at the most starting the date when were reached the 3 years from the company incorporation, for changing the name.
