ANNOUNCEMENT
The list of professionals whose names contain the mention „societate comercială”, obliged to carry out, in two years time, the necessary steps to replace this designation with “societate”, starting with February 15th 2013, in compliance with the provisions of art. 79 of Law no. 76/2012 for implementing the Law no. 134/2010 on the Civil Procedure Code
* It is recommended the replacement of the mention „societate comercială” with “societate” in the Articles of Association of the other companies that have this mention set out, but only in the content of the Articles of Association and not in its name, reported to the provisions of art. 226 paragraph (1) of Law no. 287/2009 on the Civil Code, which stipulate that the legal person has the name established, under the law, through the Articles of Association or the statute.
* As regards to the companies’ branches, in compliance with the provisions of art. 105 paragraph (3) of the Implementing regulations on keeping the trade register, carrying out registrations and releasing information, approved by the Order of the Minister of Justice no. 2594/C/2008, the changes regarding the name of the branch shall be registered ex officio to the trade register office from the registered office of the legal person that set up the branch, based on the notification and the proving documents electronically sent by the trade register office attached to the law court where the branch was incorporated.
